Terms of Service
Last Updated: May 5, 2026
These Terms of Service ("Terms") govern your access to and use of the DocPost website, applications, and services (collectively, the "Tech Platform") provided by Goliath Dynamics Inc. ("GDI", "we," "us," or "our"). By accessing or using the Tech Platform, you agree to be bound by these Terms. If you do not agree, do not use the Tech Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the Tech Platform, you represent that (a) you are at least 18 years old, (b) you have the legal capacity to enter into these Terms, and (c) if you are using the Tech Platform on behalf of an organization, you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and the organization.
2. Description of the Tech Platform
DocPost is a technology platform that facilitates contract and legal workflows, including electronic signatures, contract templating, contract lifecycle management, as well as certain tools for licensed attorneys only.
Notice of Non-Legal Services. DocPost is a technology platform, not a law firm. GDI is a technology company, not a law firm. No legal advice is provided by DocPost or GDI.
No Attorney-Client Relationship. Use of the Tech Platform does not create an attorney-client relationship and does not confer attorney-client privilege or work product protection. You acknowledge that only representation by an attorney can create attorney-client privilege or work product protection.
Absent an express written agreement or engagement letter, our officers, directors, shareholders, affiliates, and employees do not represent you or any business entity you represent in any capacity. You should consult a licensed attorney before relying on any document, template, or output from the Tech Platform. Any attorney-client relationship that arises is solely between you and your attorney of record.
No Waiver of Privilege. To the extent that you are an attorney or law firm, or have an attorney of record, then:
- you, your staff, and your firm and/or client(s) maintain exclusive control over all data;
- we act as a confidential agent and functional equivalent of your staff relating to use of this technology platform;
- the parties intend that sending information to or through the Tech Platform does not waive any privilege that may be applicable, including but not limited to attorney-client privilege or work product protection.
3. Accounts and Eligibility
You must register for an account to use most features of the Tech Platform. You agree to (a) provide accurate, current, and complete information; (b) keep your credentials confidential; (c) notify us promptly of any unauthorized access; and (d) be responsible for all activity that occurs under your account. We may refuse, suspend, or terminate accounts at our discretion.
You acknowledge that certain functionality in the Tech Platform is usable only by attorneys and/or under guidance and direction of a duly licensed attorney of record. The Tech Platform is merely a scrivener/conduit for inputs of you and/or your attorney(s) of record.
Each attorney of record requires a separate user account, and must add their bar admission credentials in their profile before being able to be marked as your attorney of record. You acknowledge that such credentials are subject to verification at any time. The use of an attorney's account or credentials by a non-lawyer is strictly prohibited, constitutes a material breach of these Terms, and is grounds for us to terminate these Terms and revoke access.
Whenever you engage with an attorney through the Tech Platform, all legal advice is provided by and at the direction of the attorney, not by us. The attorney is solely responsible for the legal services, the engagement letter, fees, legal advice, attorney work product, and the attorney-client relationship. We are not responsible for the acts, omissions, advice, or work product of any attorney. Any disputes regarding legal services should be resolved directly with the attorney.
4. Subscription Plans, Fees, and Billing
Paid plans are billed in advance on a recurring basis (monthly or annual) and renew automatically unless cancelled before the renewal date. You authorize us to charge your designated payment method for all applicable fees and taxes. Fees are non-refundable except where required by law or expressly stated. We may change pricing with at least 30 days' prior conspicuous notice; changes apply at your next renewal.
Free-tier features are subject to volume, usage, and feature limits and may be modified or discontinued at any time.
5. Electronic Signatures
The Tech Platform supports electronic signatures intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and similar laws. By signing electronically, you consent to (a) conduct transactions electronically, (b) receive records electronically, and (c) be bound by your electronic signature to the same extent as a handwritten signature. You are solely responsible for determining whether electronic signatures are legally valid for your particular transaction in your jurisdiction.
6. Your Content
"Customer Content" means documents, data, templates, signatures, communications, and other materials you upload, generate, or transmit through the Tech Platform. You retain all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, process, and otherwise use Customer Content solely (a) to provide and improve the Tech Platform, (b) to comply with law, and (c) as you direct.
You represent and warrant that you own or have the necessary rights to your Customer Content and that your use of the Tech Platform does not violate any third-party rights or applicable law.
7. Acceptable Use
You agree not to:
- use the Tech Platform to violate any law, regulation, or third-party right;
- upload or transmit malware, viruses, or harmful code;
- attempt to gain unauthorized access to the Tech Platform, other users' accounts, or any underlying systems;
- reverse engineer, decompile, or disassemble any part of the Tech Platform, except as permitted by law;
- use the Tech Platform to send spam, phishing, or fraudulent communications;
- impersonate any person or entity or misrepresent your affiliation;
- scrape, crawl, or use automated means to access the Tech Platform except via documented APIs;
- use the Tech Platform to forge signatures, alter executed documents, or facilitate fraud;
- resell, sublicense, or otherwise commercialize the Tech Platform without our prior written consent.
We may investigate, suspend, or terminate access for suspected violations.
8. Third-Party Providers
The Tech Platform interoperates with third-party services. We are not responsible for third-party services and make no representations or warranties regarding their services, functionality, or continued compatibility with the Tech Platform. Your use of such third-party services is governed by their terms.
9. Intellectual Property
The Tech Platform, including all software, designs, text, graphics, templates, and trademarks (excluding Customer Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Tech Platform in accordance with these Terms. All rights not expressly granted are reserved.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
10. Privacy
Our handling of personal data is described in our Privacy Policy. By using the Tech Platform, you acknowledge our collection and use of information as described there.
11. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information of like kind, and not less than reasonable care, and will not disclose or use such information except as permitted under these Terms or as required by law. However, if you are an attorney of record, we shall maintain confidentiality with no less rigor as your (or your firm's) internal employees under applicable law or rules of professional responsibility.
Conflicts. You acknowledge that shareholders, directors, and/or staff of GDI may include licensed attorneys. No such attorney shall directly or indirectly view your confidential or privileged data without a passed conflicts check, appropriate disclosures to you, and any other requirements under applicable law or rules of professional responsibility.
Third Parties. In the event of a government or third-party request for your data, unless legally prohibited, we will use commercially reasonable efforts to redirect the request to your attorney of record if you have or are one, or you if not. We reserve the right, but are not required, to challenge any request that in our sole discretion is overbroad, improper, or unlawful, including by seeking to quash, narrow, or stay the request.
12. Disclaimers
THE TECH PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE TECH PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DOCUMENT OR OUTPUT IS LEGALLY SUFFICIENT FOR ANY PURPOSE. ANY TEMPLATES, MODEL CLAUSES, OR AI-GENERATED OUTPUT ARE PROVIDED FOR CONVENIENCE ONLY AND ARE NOT LEGAL ADVICE.
If you are an attorney, you acknowledge that:
- Your bar license has additional requirements that may or may not be hardcoded into the platform, and that rules and laws regulating attorney conduct and process may trigger new requirements or limitations imposed without prior notice.
- While the Tech Platform is able to provide significant barriers that mitigate or reduce opportunities for misconduct, errors, or omissions, we make no guarantees, warranties, or representations that we or DocPost have full compliance coverage for your licensed jurisdiction(s).
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GDI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE TECH PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GDI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE TECH PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GDI FOR THE TECH PLATFORM IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless GDI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Tech Platform, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any third-party right or applicable law.
15. Termination
You may cancel your account at any time through your account settings. We may suspend or terminate your access to the Tech Platform at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Tech Platform ceases immediately. Sections that by their nature should survive termination (including Sections 6, 9, 11, 12, 13, 14, 16, and 17) will survive.
We will retain Customer Content as required to provide the Tech Platform and as required by law. You are responsible for exporting your Customer Content before termination; after a reasonable retention period, we may delete it.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
Informal Resolution. Before filing any claim, the parties agree to attempt to resolve the dispute informally for at least 30 days after written notice.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Tech Platform that is not resolved informally will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, by a single arbitrator, in Orlando, FL (or remotely by unanimous consent). Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND GDI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions. Either party may bring (a) an action in small-claims court for qualifying claims, or (b) an action in court for injunctive or equitable relief regarding intellectual property or unauthorized access.
Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing notice to legal@docpo.st.
17. General
Entire Agreement. These Terms, together with any order forms, plan documents, and our Privacy Policy, constitute the entire agreement between you and GDI regarding the Tech Platform and supersede all prior agreements.
Changes. We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
Notices. Notices to us must be sent to legal@docpo.st. Notices to you may be sent to the email associated with your account.
Relationship. The parties are independent contractors. These Terms do not create any agency, partnership, or joint venture.
Export and Sanctions. You will comply with all applicable export-control and sanctions laws.
U.S. Government End Users. The Tech Platform is a "commercial item" as defined in 48 C.F.R. § 2.101 and is licensed to U.S. Government end users only as a commercial item with only those rights granted to all other end users.
